# Gloibox Terms of Service Draft

**Status: Draft for review. Effective date: 2026-10-28.**

These Terms govern the Gloibox services supplied by Gloitel Consulting Pvt. Ltd., of 477/4, Muskan Residency road, Lalpur, Pachpedi Naka, Raipur, Chhattisgarh 492001, India ("Gloibox", "we", or "us"), to the organization identified in an accepted subscription order ("Customer"). An individual accepting for the Customer must have authority to bind it. The order identifies the purchased modules, authorized usage, fees, subscription term, and support plan.

## Access and responsibilities

During the subscription term, the Customer may permit its authorized personnel to use the purchased services for its business operations. Each user must safeguard their credentials. The Customer administers access, removes access when no longer required, and promptly reports suspected unauthorized use to security@gloibox.com.

The Customer is responsible for the accuracy of employee records and for lawful instructions concerning attendance, location collection, leave, payroll, and other workforce activities. It must provide required notices and establish an appropriate legal basis for processing employee information. Payroll calculations and reports must be reviewed by the Customer before payment or statutory submission.

Users must not access another organization's information, bypass access restrictions, introduce malicious code, disrupt the service, or use it unlawfully. Testing security controls requires prior written agreement on scope.

## Orders and payment

The accepted order sets billing frequency, payment due dates, taxes, employee or usage limits, and any implementation charges. Additional modules or increased usage require the agreed purchasing process. Renewal, price changes, cancellation notice, and refund rules are as follows: Monthly or annual subscription billed in advance; renewal at the same term unless notice is received; cancellation effective at the end of the current billing period; no refunds for unused time unless required by law. No separate auto-renewal mechanism is established beyond the order terms.

## Information and intellectual property

The Customer retains rights to its submitted records and reports. It authorizes Gloibox to process them to deliver the contracted services, following the Data Protection Addendum. Gloibox retains rights to its software and documentation. Neither party receives ownership of the other's intellectual property through this agreement.

Each party must protect the other's confidential information, restrict access to people who need it for the agreement, and ensure they are subject to confidentiality obligations. Information independently developed, lawfully obtained without restriction, or publicly available without breach is excluded. Legally compelled disclosure is permitted, with advance notice where lawful.

## Support and changes

The selected SLA governs covered service availability and support. Features, third-party integrations, and implementation work are included only where the order says so. Gloibox will communicate changes that materially affect purchased functionality through email to the registered customer contact and the service or support portal used under the order.

## Suspension and termination

Gloibox may restrict access as reasonably necessary to address an immediate security threat, unlawful use, or a material contractual breach. Where practicable, it will notify the Customer, explain the required remedy, and limit the scope and duration of the restriction. Payment-related suspension requires reasonable prior notice and a cure period as permitted by the order and applicable law.

Either party may terminate for a material breach that remains unresolved after a 30-day cure period following written notice. On expiry or termination, access and data export remain available for the period stated in the order; return and deletion follow the DPA. Any refund or outstanding payment obligation follows the order and applicable law.

## Warranties and liability

Gloibox will provide the services with reasonable care and skill consistent with industry practice for a workforce-management platform of similar scope. The Customer is responsible for its data accuracy, user administration, legal compliance, and operational review of payroll, attendance, location, and leave outputs before acting on them. Gloibox does not guarantee uninterrupted service or that all workflows will be error-free, but it will use commercially reasonable efforts to maintain the service in accordance with the SLA.

To the maximum extent permitted by applicable law, Gloibox's aggregate liability for claims under the agreement is limited to the fees paid or payable for the relevant service in the 12 months preceding the event giving rise to the claim, except to the extent that mandatory law provides otherwise. Gloibox shall not be liable for indirect, consequential, incidental, punitive, or special damages, except for fraud, willful misconduct, confidentiality breaches, or other liabilities that cannot be excluded by law. Nothing in these Terms excludes any non-excludable statutory rights or liabilities.

## Related documents and disputes

The DPA governs processing of Customer personal data; the SLA governs service levels. A signed order may vary commercial terms and expressly identified SLA provisions. It cannot displace mandatory legal protections. The Privacy and Cookie Policies explain information handling and device storage.

Governing law is the laws of India, and disputes will be resolved in the courts of Mumbai, Maharashtra. Contractual notices go to gloitel-it@gloitel.in and the Customer's registered legal contact. Changes to these Terms take effect through the agreed notice and acceptance process, without retroactively altering accrued rights.
